This Client Agreement (the "Agreement") governs the relationship between NEWVERSE LLC (the
"Company", "NEWVERSE") and any individual or legal entity (the "Client") that accesses or uses the
Company's website, platforms, software, products, or services.
By registering, accessing, or using any services of NEWVERSE LLC, the Client confirms that they have
read, understood, and agreed to be legally bound by the terms and conditions of this Agreement.
1. GENERAL PROVISIONS
1.1. NEWVERSE LLC provides technological, analytical, educational, and digital services related to
financial markets, automated systems, business solutions, and associated activities.
1.2. The Company does not provide investment, legal, tax, or financial advice unless expressly stated
otherwise in writing.
1.3. All services are provided on an "as is" and "as available" basis.
2. ELIGIBILITY
2.1. The Client represents and warrants that they are at least eighteen (18) years of age and have full
legal capacity to enter into this Agreement.
2.2. The Client is solely responsible for ensuring that use of the Company's services is lawful in their
jurisdiction.
2.3. The Company reserves the right, at its sole discretion, to refuse or restrict access to its services.
3. ACCOUNT REGISTRATION AND SECURITY
3.1. The Client agrees to provide accurate, current, and complete information during registration and to
keep such information up to date.
3.2. The Client is solely responsible for maintaining the confidentiality of their login credentials and
account access.
3.3. All activities conducted through the Client's account shall be deemed authorised by the Client.
4. SERVICES AND PLATFORM USE
4.1. NEWVERSE may provide access to automated systems, analytical tools, dashboards, educational
materials, and partner or third-party services.
4.2. The Company reserves the right to modify, suspend, or discontinue any service, in whole or in part,
at any time without prior notice.
4.3. Past performance is not indicative of, and does not guarantee, future results.
5. RISK DISCLOSURE
5.1. The Client acknowledges that activities related to financial markets involve significant risk, including
the possible loss of all funds.
5.2. The Client assumes full responsibility for all decisions made based on information, tools, or systems
provided by the Company.
5.3. The Company shall not be liable for losses arising from market volatility, technical failures, system
delays, third-party actions, or force majeure events.
6. PAYMENTS AND FEES
6.1. The Client agrees to pay all applicable fees and charges associated with the selected services.
6.2. Unless expressly stated otherwise, all payments are final and non-refundable.
6.3. The Company may amend pricing, fee structures, compensation models, or bonus programmes at
any time at its sole discretion.
7. REFERRAL AND PARTNER PROGRAMMES
7.1. The Company may offer referral or partner programmes governed by separate rules, policies, or
agreements.
7.2. The Company reserves the right to modify, suspend, or terminate any referral or partner
programme at its sole discretion.
7.3. Any abuse, manipulation, or violation of programme rules may result in account suspension,
termination, and forfeiture of rewards.
8. PROHIBITED ACTIVITIES
The Client shall not:
- use the services for unlawful or unauthorised purposes;
- attempt to gain unauthorised access to systems, or engage in hacking or reverse engineering;
- provide false, misleading, or fraudulent information;
- engage in abusive, manipulative, or fraudulent conduct.
9. INTELLECTUAL PROPERTY
9.1. All software, content, trademarks, logos, and materials are the exclusive property of NEWVERSE LLC
or its licensors.
9.2. The Client is granted a limited, non-exclusive, non-transferable, and revocable licence to use the
services solely in accordance with this Agreement.
10. LIMITATION OF LIABILITY
10.1. To the maximum extent permitted by applicable law, the Company shall not be liable for any
indirect, incidental, special, or consequential damages.
10.2. The Company's total aggregate liability shall not exceed the total amount paid by the Client to the
Company for services during the three (3) months immediately preceding the event giving rise to the
claim.
11. TERM, RENEWAL AND TERMINATION (UK / INTERNATIONAL
STANDARD)
11.1. This Agreement (the Contract) shall be entered into for a fixed initial term of three hundred and
sixty-five (365) calendar days, commencing on the date the Contract is activated by the Client.
11.2. Upon expiry of the initial term, the Contract may be renewed for successive periods of six (6)
months, subject to the Client paying the Company a renewal fee equal to ten per cent (10%) of the
total aggregate income generated by the Client during the preceding Contract term.
11.3. The Client shall be entitled to terminate this Contract for convenience within the first ninety (90)
calendar days from the activation date.
11.4. Where termination occurs within the first ninety (90) days, any applicable refund shall be
processed solely in the Company's internal accounting unit / virtual currency known as "Express"
and shall be credited to the personal account of the Client's referrer (inviting party).
11.5. Following the expiration of the initial ninety (90) day period, the Contract shall be deemed
non-cancellable, and no refunds, reimbursements, or reversals shall be available, unless the Company
determines otherwise at its sole discretion.
12. PRIVACY AND DATA PROTECTION
12.1. The Company processes personal data in accordance with its Privacy Policy and applicable data
protection laws.
12.2. By using the services, the Client consents to the collection, use, and processing of personal data
necessary for service provision.
13. GOVERNING LAW AND DISPUTE RESOLUTION
13.1. This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction
in which NEWVERSE LLC is registered, unless otherwise specified by the Company.
13.2. The Parties shall seek to resolve any dispute through good-faith negotiations prior to initiating
legal proceedings.
14. AMENDMENTS
14.1. The Company reserves the right to amend or update this Agreement at any time.
14.2. Continued use of the services following publication of amendments shall constitute acceptance of
the revised Agreement.
